ZENITH MUSIC PRO — END USER LICENSE AGREEMENT (EULA) / ALUF

1. NATURE OF THE SOFTWARE AND OWNERSHIP
Zenith Music Pro ("Software") is not a streaming service, content provider, or hosting platform. It is a local file management and automation tool. The Software invokes computing processes only under the user's explicit and direct instructions. The Software does not own, host, transmit, or distribute multimedia content; every action performed by the Software is a local execution within the user's computing environment.

2. USER RESPONSIBILITY DECLARATION (EXTERNAL CONTENT)
The user is the sole and exclusive party responsible for any content they access, download, play, or share.

Copyright: The user warrants that they hold all licenses, authorizations, or legal rights necessary to handle any processed file. The Software does not verify, audit, or approve managed material.

Prohibited Infringing Use: Use of Zenith to infringe intellectual property rights, copyright, or any local or international law is prohibited. The user accepts that any legal consequence arising from managing protected content is their exclusive responsibility.

3. FULL INDEMNIFICATION
To the maximum extent permitted by law, the user agrees to defend, indemnify, and hold harmless Zenith Music Pro and its developers from any claim, demand, fine, damage (including legal fees), or liability of any kind arising from or in connection with:

- The user's improper or illegal use of the Software.
- Violation of third-party rights or intellectual property laws.
- Use of network features such as "Zenith Link" or "Share Session" to transmit or share files without legally required authorization.

4. NETWORK USE AND P2P TRANSMISSION (SHARE SESSION / ZAE)
The Software includes P2P connectivity and local network management features ("Zenith Link", "Share Session", "ZAE").

Transmission Responsibility: By enabling these features, the user assumes responsibility for acting as a sender/receiver of data on their own network. Zenith Music Pro does not monitor data traffic.

Strict Domestic Use: These features are designed exclusively for private, non-commercial home use. Zenith is not responsible for the nature of data transmitted through such sessions.

5. TECHNICAL HARDENING CLAUSE (DISCLAIMER OF WARRANTIES)
The Software is provided "AS IS" and "AS AVAILABLE". Zenith disclaims any warranty, express or implied, including operability, fitness for a particular purpose, or absence of errors. Zenith Music Pro shall not be liable for:

- Damage, freezes, white screens (White Screen of Death), or operating system failures arising from high-load processes or memory management.
- Network port conflicts, thread saturation, or data loss during network service initialization.

6. LIMITATION OF LIABILITY (ECONOMIC CAP)
You agree that Zenith Music Pro's total liability for any damage, regardless of cause (including negligence), shall in no case exceed the amount you paid for the Software in the last twelve (12) months or, if none, fifty (50) EUR. This limitation applies even if Zenith was advised of the possibility of such damages.

7. THIRD-PARTY INTEGRATION (FFMPEG, YT-DLP)
The Software uses third-party tools to execute local commands. The user acknowledges these tools are independent and that Zenith Music Pro acts merely as a wrapper or user interface. We assume no responsibility for updates, errors, or legal terms of such third-party tools.

8. JURISDICTION AND GOVERNING LAW
This EULA is governed exclusively by the laws of Spain.

Waiver of other jurisdictions: The user expressly waives any forum, jurisdiction, or application of local consumer protection laws other than those mandatorily required by EU law.

Arbitration: Any dispute shall be resolved through mediation and arbitration before any formal judicial proceeding.

9. AUTOMATIC TERMINATION
This EULA terminates immediately and automatically if the user breaches any of its clauses. Upon termination, the user must cease use of the Software and permanently delete all related files.

10. ACCEPTANCE BY USE
By installing, configuring, or activating any feature of the Software, the user confirms having read, understood, and accepted all terms of this EULA. If the user disagrees, they must refrain from using the Software.

LEGAL NOTE: Zenith Music Pro strongly recommends that, if in doubt about the legality of content you manage, you consult your local legal advisor. This Software is designed under principles of private local computing; the user retains full control and full responsibility over the operational workflow. By accepting this agreement, the user acknowledges that Zenith is a local computing tool under their absolute control and assumes all civil, criminal, and administrative responsibility for their actions.

1. NATURALEZA DEL SOFTWARE Y PROPIEDAD
Zenith Music Pro ("Software") no es un servicio de streaming, ni un proveedor de contenido, ni una plataforma de alojamiento. Es una herramienta de automatización y gestión de archivos locales. El Software simplemente invoca procesos informáticos bajo las instrucciones explícitas y directas del usuario. El Software no posee, aloja, transmite, ni distribuye contenido multimedia; toda acción realizada por el Software es una ejecución local dentro del entorno computacional del usuario.

2. DECLARACIÓN DE RESPONSABILIDAD DEL USUARIO (CONTENIDO EXTERNO)
El usuario es el único y exclusivo responsable de cualquier contenido al que acceda, descargue, reproduzca o comparta.

Derechos de Autor: El usuario garantiza que posee todas las licencias, autorizaciones o derechos legales necesarios para el manejo de cualquier archivo procesado. El Software no verifica, audita ni aprueba el material gestionado.

Prohibición de Uso Infractor: Queda prohibido el uso de Zenith para infringir derechos de propiedad intelectual, derechos de autor, o cualquier legislación local o internacional. El usuario acepta que cualquier consecuencia legal derivada de la gestión de contenido protegido es su exclusiva responsabilidad.

3. INDEMNIZACIÓN INTEGRAL
El usuario acepta, en la máxima medida permitida por la ley, defender, indemnizar y mantener indemne a Zenith Music Pro y sus desarrolladores frente a cualquier reclamo, demanda, multa, daño (incluyendo honorarios legales) o responsabilidad de cualquier índole, que surja de o en conexión con:

- El uso indebido o ilegal del Software por parte del usuario.
- La violación de los derechos de terceros o leyes de propiedad intelectual.
- El uso de funciones de red como "Zenith Link" o "Share Session" para transmitir o compartir archivos sin la autorización legal necesaria.

4. USO DE RED Y TRANSMISIÓN P2P (SHARE SESSION / ZAE)
El Software incluye funciones de conectividad P2P y gestión de red local ("Zenith Link", "Share Session", "ZAE").

Responsabilidad de Transmisión: Al activar estas funciones, el usuario asume la responsabilidad de actuar como emisor/receptor de datos en su propia red. Zenith Music Pro no supervisa el tráfico de datos.

Uso Doméstico Estricto: Estas funciones están diseñadas exclusivamente para uso doméstico, privado y no comercial. Zenith no se hace responsable de la naturaleza de los datos transmitidos a través de dichas sesiones.

5. CLÁUSULA DE HARDENING TÉCNICO (RENUNCIA A GARANTÍAS)
El Software se entrega en estado "TAL CUAL" y "SEGÚN DISPONIBILIDAD". Zenith renuncia a cualquier garantía, explícita o implícita, incluyendo la operatividad, idoneidad para un fin específico o ausencia de errores. Zenith Music Pro no será responsable por:

- Daños, bloqueos, pantallas blancas (White Screen of Death), o fallos del sistema operativo derivados de la ejecución de procesos de alta carga o gestión de memoria.
- Conflictos de puertos de red, saturación de hilos, o pérdida de datos durante la inicialización de servicios de red.

6. LIMITACIÓN DE RESPONSABILIDAD (TECHO ECONÓMICO)
Aceptas que la responsabilidad total de Zenith Music Pro por cualquier daño, independientemente de la causa (incluyendo negligencia), no excederá en ningún caso el importe pagado por ti por el Software en los últimos doce (12) meses o, en su defecto, la cantidad de 50 (cincuenta) EUR. Esta limitación se aplica incluso si Zenith fue advertido de la posibilidad de tales daños.

7. INTEGRACIÓN DE TERCEROS (FFMPEG, YT-DLP)
El Software utiliza herramientas de terceros para ejecutar comandos locales. El usuario reconoce que estas herramientas son independientes y que Zenith Music Pro actúa meramente como un wrapper o interfaz de usuario. No asumimos ninguna responsabilidad por las actualizaciones, errores, o términos legales de dichas herramientas de terceros.

8. JURISDICCIÓN Y LEY APLICABLE
Este ALUF se rige exclusivamente por las leyes de España.

Renuncia a otras jurisdicciones: El usuario renuncia expresamente a cualquier otro foro, jurisdicción o aplicación de leyes locales de protección al consumidor que no sean de obligado cumplimiento por normas imperativas de la UE.

Arbitraje: Cualquier disputa será resuelta mediante mediación y arbitraje antes de proceder a cualquier vía judicial formal.

9. TERMINACIÓN AUTOMÁTICA
Este ALUF finaliza de forma inmediata y automática en caso de que el usuario incumpla cualquiera de sus cláusulas. Ante la terminación, el usuario debe cesar el uso del Software y eliminar permanentemente todos sus archivos.

10. ACEPTACIÓN POR USO
Al instalar, configurar o activar cualquier función del Software, el usuario confirma haber leído, entendido y aceptado todos los términos de este EULA. Si el usuario no está de acuerdo, debe abstenerse de usar el Software.

NOTA LEGAL: Zenith Music Pro recomienda encarecidamente que, en caso de duda sobre la legalidad del contenido que gestionas, consultes con tu asesor legal local. Este Software ha sido diseñado bajo los principios de computación privada local, por lo que el usuario mantiene el control total y la responsabilidad total sobre el flujo de trabajo operativo. Al aceptar este acuerdo, el usuario reconoce que Zenith es una herramienta de computación local bajo su control absoluto y asume toda responsabilidad civil, penal y administrativa por sus acciones.
